Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Estyl websites, accounts, applications, products, services, software, APIs, content, features and related online services that link to, display or otherwise refer to these Terms (together, the “Services”).
In these Terms, “Estyl”, “we”, “us” and “our” mean Estyl. Estyl operates from the United Kingdom. These Terms apply whether you access the Services from the United Kingdom or elsewhere.
By accessing or using the Services, creating an Estyl Account, subscribing to a paid Service, or otherwise indicating acceptance, you agree to these Terms. If you use the Services on behalf of an organisation, you confirm that you have authority to bind that organisation, and “you” includes that organisation.
1. Other terms that apply
The following terms and policies also apply to your use of the Services:
- our Privacy Policy, which explains how we handle personal data;
- any product-specific terms, order terms, plan limits, usage rules or notices shown in the relevant Service or at checkout; and
- the applicable terms of third-party services used for authentication, billing, hosting, integrations or other parts of the Services.
If there is a conflict between these Terms and product-specific terms, the product-specific terms apply only for the relevant product or feature. If there is a conflict between these Terms and mandatory law, the mandatory law applies.
2. Eligibility and account responsibility
You must be at least 13 years old to use the Services. If you are under the age of majority in your country, you may use the Services only with the consent and supervision of a parent or legal guardian.
You are responsible for ensuring that your use of the Services is lawful where you are located. You must not use the Services if applicable law, sanctions rules, export control rules or other legal restrictions prohibit you from doing so.
You are responsible for all activity under your Estyl Account, except where the activity results from Estyl’s failure to use reasonable care or from circumstances that applicable law does not allow us to exclude. You must keep your login credentials secure, use accurate account information, and tell us promptly if you believe your account has been compromised.
3. Estyl Accounts and authentication
Some Services require an Estyl Account. Estyl Accounts use WorkOS as a third-party authentication provider. Authentication may involve third-party identity providers, passkeys, passwords, email-based login, single sign-on or other sign-in methods made available from time to time.
We may refuse, suspend or terminate account access where we reasonably believe that:
- your account information is inaccurate, misleading or unlawful;
- your account is being used in breach of these Terms;
- your account creates a security, legal, operational or reputational risk;
- we need to do so to comply with law or a third-party provider requirement; or
- continued access would harm Estyl, other users, third parties or the Services.
You may not sell, transfer, assign or share your Estyl Account except where we expressly permit it.
4. Paid Services, billing and subscriptions
Some Services may be free, paid, subscription-based, usage-based, one-off purchases, trial products, beta products, or otherwise made available under pricing and plan terms shown in the relevant Service or at checkout.
Estyl uses Polar as a billing partner and Merchant of Record for paid products and subscriptions where Polar checkout is used. When you buy a paid Estyl product through Polar, the checkout, payment, tax, invoice, receipt, payment method, chargeback and related billing experience may be handled by Polar and may be governed by Polar’s applicable buyer terms, privacy policy and other checkout terms. Estyl remains responsible for the Estyl Service you access, subject to these Terms and any product-specific terms.
You can manage billing details that Polar makes available to you, including eligible payment and subscription details, through the Polar customer portal accessible from your Estyl Account at accounts.estyl.io/my-account/billing.
Unless otherwise stated at checkout or required by applicable law:
- prices, billing periods, plan limits and renewal terms are shown at checkout or in the relevant Service;
- subscriptions renew automatically until cancelled;
- cancellation stops future renewals but does not necessarily refund or shorten the current billing period;
- paid access may be suspended or terminated if payment fails, is reversed, is disputed, or is suspected to be fraudulent or unlawful;
- taxes may be calculated, collected and remitted by Polar as Merchant of Record; and
- Estyl may change prices, plans or paid features, with notice where required by law.
If you are a consumer and you have a statutory cooling-off or cancellation right, that right applies. For digital content or digital services supplied immediately, you may be asked at checkout to consent to immediate supply and acknowledge that this may affect cancellation rights. Nothing in these Terms limits your mandatory consumer rights, including rights relating to faulty digital content or services that are not provided with reasonable care and skill.
5. Licence to use the Services
Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services for their intended purpose.
You must not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, attempt to extract source code from, or create derivative works based on the Services, except to the extent permitted by applicable law or by a separate written agreement with us.
No rights are granted except those expressly stated in these Terms.
6. Estyl intellectual property
The Services, including software, designs, interfaces, branding, logos, names, text, graphics, icons, workflows, documentation, databases, features and other materials, are owned by Estyl or its licensors and are protected by intellectual property and other laws.
You may not use Estyl names, logos, branding or trade marks without our prior written permission, except where fair use or another legal right applies.
7. Your content and data
Some Services may allow you to submit, upload, generate, store, transmit or otherwise provide content, data, files, text, prompts, outputs, code, designs, media, comments, feedback or other materials (“User Content”).
You retain ownership of your User Content. You grant Estyl a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display and otherwise use User Content only as necessary to provide, maintain, secure, improve and support the Services, comply with law, enforce these Terms, and protect Estyl, users and third parties.
You represent and warrant that you have all rights, permissions and lawful bases needed to provide User Content to the Services and to grant the licence above. You must not submit User Content that is unlawful, infringing, confidential without permission, malicious, misleading, abusive, exploitative or otherwise in breach of these Terms.
You are responsible for keeping your own copies and backups of User Content where appropriate. The Services are not a guaranteed archive or backup service unless a specific Service expressly says otherwise.
8. Feedback
If you provide ideas, suggestions, bug reports, comments or other feedback about Estyl or the Services, you grant us a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free licence to use that feedback for any purpose without restriction or compensation to you. This does not give us ownership of your underlying personal data or User Content.
9. Acceptable use
You must use the Services lawfully, responsibly and in accordance with these Terms. You must not, and must not help anyone else to:
- break any applicable law, regulation, court order, sanctions rule or third-party right;
- infringe intellectual property, privacy, publicity, confidentiality or contractual rights;
- impersonate anyone, misrepresent affiliation, or provide false or misleading information;
- access, use, probe, scan, test, interfere with, disrupt, overload or damage any system, account, network, data or security measure without permission;
- introduce malware, spyware, ransomware, worms, trojans, malicious code or harmful automation;
- scrape, harvest or extract data from the Services except where expressly allowed;
- bypass usage limits, access controls, authentication, billing systems or security controls;
- use the Services to send spam, phishing, scams, unsolicited bulk messages or deceptive communications;
- use the Services for harassment, abuse, threats, hate, exploitation, sexual abuse, self-harm facilitation, violence, fraud, doxxing or unlawful surveillance;
- upload or process sensitive personal data, children’s data, financial account data, health data, biometric data, criminal offence data or similarly sensitive information unless the relevant Service expressly supports it and you have a lawful basis to do so;
- use the Services to build, train or improve a competing service in a way that violates these Terms or applicable law;
- resell, lease, lend or commercially exploit the Services unless a separate written agreement allows it; or
- use the Services in a way that creates excessive operational load or harms Estyl, users, third parties or the integrity of the Services.
We may investigate suspected violations and may remove content, restrict features, suspend accounts, block traffic, report unlawful activity, or take other reasonable action to protect the Services and others.
10. Security research
We value responsible security research. You must not conduct testing that disrupts the Services, accesses data you are not authorised to access, degrades performance, uses social engineering, exploits users, persists access, exfiltrates data, or violates law.
If you discover a vulnerability, report it to legal@estyl.io and give us a reasonable opportunity to investigate before public disclosure. We do not waive any rights, but we will generally treat good-faith, non-disruptive reports more favourably than harmful activity.
11. Third-party services and links
The Services may depend on, integrate with or link to third-party services, including authentication providers, billing providers, hosting providers, databases, analytics tools, communications services, browsers, app stores, operating systems and external websites.
Third-party services are not controlled by Estyl. We are not responsible for third-party services, content, policies, availability, acts or omissions, except where applicable law says otherwise. Your use of third-party services may be subject to their own terms and privacy policies.
12. Service changes, availability and beta features
We may update, change, suspend, limit or discontinue any part of the Services at any time. We will give notice where required by law or where a change materially affects a paid Service.
The Services may include experimental, preview, early-access or beta features. Beta features may be incomplete, unstable, inaccurate, interrupted, changed or discontinued. You should not rely on beta features for critical uses unless a separate written agreement says otherwise.
We aim to provide reliable Services, but we do not guarantee that the Services will be uninterrupted, error-free, secure, compatible with every system, or available in every location.
13. Automated and AI-enabled features
Where a Service includes automated, AI-enabled, model-based or algorithmic features, outputs may be incomplete, inaccurate, outdated, offensive, unsafe, infringing or unsuitable for your intended use. You are responsible for reviewing outputs before relying on them, publishing them, or using them to make decisions.
The Services do not provide legal, medical, financial, tax, safety, employment, academic or other professional advice unless a specific written agreement expressly says otherwise. You must obtain appropriate professional advice before making decisions that could materially affect rights, safety, finances, health or legal obligations.
14. Communications and notices
We may send you service-related emails, account notices, billing notices, legal notices, security notices and other communications related to the Services. You agree that electronic communications satisfy legal requirements that communications be in writing, unless mandatory law requires a different format.
You can contact us about legal matters at legal@estyl.io. You can contact us about privacy matters at privacy@estyl.io.
15. Suspension and termination
You may stop using the Services at any time. You may cancel eligible paid subscriptions through the billing portal at accounts.estyl.io/my-account/billing or through any other cancellation method made available for the relevant Service.
We may suspend or terminate your access to the Services, with or without notice where reasonable, if:
- you breach these Terms or product-specific terms;
- you create legal, security, operational, financial or reputational risk;
- required by law, court order, regulator request or third-party provider requirement;
- payment fails or is disputed;
- the relevant Service is discontinued; or
- we reasonably need to protect the Services, Estyl, users or third parties.
After termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including provisions on intellectual property, User Content licences needed for prior operation, feedback, payments owed, disclaimers, liability, indemnity, disputes and general terms.
16. Disclaimers
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Estyl disclaims all warranties, conditions, representations and guarantees, whether express, implied, statutory or otherwise, including implied warranties of satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, availability, security and uninterrupted operation.
This section does not limit any rights that cannot be limited under applicable law, including mandatory consumer rights.
17. Liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, or any liability that cannot be limited or excluded under applicable law.
If you are a consumer, Estyl is responsible for losses you suffer that are a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for business losses suffered by consumers, including loss of profit, revenue, business opportunity or business interruption.
If you use the Services for business, commercial or professional purposes, then to the fullest extent permitted by law:
- Estyl will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages;
- Estyl will not be liable for loss of profits, revenue, goodwill, business opportunity, data, anticipated savings or business interruption;
- Estyl will not be liable for failures caused by third-party services, internet providers, hosting providers, payment providers, authentication providers, force majeure events, your systems, or your breach of these Terms; and
- Estyl’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of £100 or the amount you paid to Estyl or Polar for the affected Estyl Service in the 12 months before the event giving rise to liability.
18. Indemnity
If you use the Services for business, commercial or professional purposes, you will indemnify and hold harmless Estyl from and against claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising from your breach of these Terms, your User Content, your unlawful use of the Services, or your infringement of third-party rights.
If you are a consumer, this indemnity applies only to the extent permitted by applicable law.
19. Force majeure
Estyl is not responsible for delay or failure to perform caused by events outside our reasonable control, including failures of internet infrastructure, hosting providers, authentication providers, payment providers, utilities, app stores, labour disputes, cyberattacks, denial-of-service attacks, natural disasters, war, terrorism, civil unrest, government action, changes in law, or other events beyond our reasonable control.
20. Changes to these Terms
We may update these Terms from time to time. The updated Terms will be posted with a new “Last updated” date. Where required by law or where changes materially affect your rights or obligations, we will provide reasonable notice.
If you continue using the Services after updated Terms take effect, you accept the updated Terms. If you do not agree, you must stop using the Services and cancel any paid subscription before the updated Terms apply, subject to any mandatory rights you have.
21. Governing law and disputes
These Terms are governed by the laws of England and Wales.
If you are a consumer, this does not deprive you of mandatory protections under the laws of your country of residence, and you may have rights to bring proceedings in your local courts.
If you use the Services for business, commercial or professional purposes, the courts of England and Wales have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
Before starting formal proceedings, you agree to contact us at legal@estyl.io and try to resolve the dispute informally, unless urgent legal action is needed or applicable law gives you a right to proceed without doing so.
22. General terms
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a merger, acquisition, reorganisation, sale of assets, change of control, or operation of law.
If any part of these Terms is found invalid or unenforceable, the rest will remain in effect. Failure to enforce a provision is not a waiver. These Terms do not create any partnership, joint venture, employment, agency or franchise relationship.
These Terms, together with the Privacy Policy and any applicable product-specific terms, form the entire agreement between you and Estyl for the Services unless a separate written agreement expressly says otherwise.
